Agreement

By using Undrel's services, you agree to these terms. If you don't agree, please don't use our service. We'll always try to keep things simple and fair.

The Service

Undrel provides business data analysis services. Here's what that means:

• You send us your business data exports
• We analyze it and provide insights and recommendations
• We deliver a report with actionable next steps

Your Responsibilities

When working with us, you agree to:

• Provide accurate and complete information
• Have the right to share the data you send us
• Pay agreed-upon fees on time
• Not misuse or abuse our service

Our Responsibilities

We commit to:

• Analyze your data professionally and carefully
• Protect your information as outlined in our privacy policy
• Deliver insights that are honest and useful
• Communicate clearly about timelines and expectations

Pricing and Service Phases

Undrel operates in two distinct phases. Understanding the transition between these phases is critical to this agreement:

• Phase 1: Manual Mode (Free) - Currently, Undrel is in manual mode. During this phase, all work is provided at no cost. We will manually analyze your business data, provide insights, and deliver recommendations without payment.
• Phase 2: Automated Software Mode (Paid) - Once our C Corporation is officially formed and our proprietary software is fully built and tested, Undrel will transition out of manual mode. At this point, payment will be required before any work begins.

Payment Terms

No work will commence after the transition to Phase 2 until payment in full has been received and confirmed. The following payment terms apply once Undrel transitions to automated software mode:

• Payment Timing: Payment must be received and cleared in full before any analysis work begins. No exceptions will be made, and no work will be started pending payment.
• Accepted Payment Methods: We accept wire transfers, ACH payments, credit cards, and other mutually agreed payment methods. Payment must be made to the legal entity operating Undrel Inc.
• No Credit Terms: Undrel does not offer credit, payment plans, or deferred payment options. Full payment upfront is a mandatory condition of service.
• Invoice Validity: All pricing quotes and invoices are valid for 14 days from issuance. After 14 days, pricing may change and a new quote will be required.

Phase Transition Notice

When Undrel transitions from manual mode to automated software mode, the following will occur:

• All customers will be notified via email at least 30 days before the transition
• Requests received before the transition date will still be processed at no cost if submitted before the deadline
• Any requests submitted after the transition will require full payment before work begins
• Customers cannot request refunds for Phase 1 work simply because Phase 2 requires payment

Refunds and Cancellations

Phase 1 (Manual Mode - No refunds): Since work is provided at no cost during manual mode, no refunds apply. If you cancel or do not proceed, you forfeit any work in progress at no penalty.

Phase 2 (Automated Software Mode): If you are unsatisfied with the work delivered after payment in Phase 2, you must notify us within 7 days of receiving your report. We will either revise the work to meet reasonable expectations or provide a refund. Refund requests made more than 7 days after delivery will not be honored without extraordinary circumstances and at Undrel's sole discretion.

Partial Refunds: If you cancel after work has commenced in Phase 2, refunds will be calculated based on work completed. You will be charged for all work performed up to the cancellation date. No refunds will be issued for partially completed work unless the cancellation is due to Undrel's failure to perform.

Dispute Resolution and Non-Performance

If there is a dispute regarding payment, service quality, or any other matter:

• You must provide written notice to noah@undrel.com within 30 days of the disputed event
• Undrel will respond within 14 business days with a resolution or next steps
• If Undrel fails to perform work after payment is received, we will issue a full refund and terminate the engagement

Intellectual Property

The reports and insights we provide are yours to use for your business. However, our methodology, templates, and analysis frameworks remain our property. Please don't redistribute or resell our work.

Termination

Either party can end this agreement at any time. If you cancel after we've started work, you'll be charged for work completed up to that point. If we cancel, you'll receive a full refund.

Changes to Terms

We may update these terms occasionally. If we make significant changes, we'll let you know. Continued use of our service means you accept the updated terms.
